The following is a Company Announcement issued by Simonds Farsons Cisk plc (“SFC”) pursuant to Listing Rule 5.16.4 of the Malta Financial Services Authority Listing Rules.

SFC announces that at a Board of Directors’ meeting held earlier today, it was resolved to declare a net interim dividend of €37,211,000, equivalent to €1.2403667 per share. The interim dividend shall be settled ‘in kind’, through the distribution of SFC’s entire shareholding in Trident Estates plc (“Trident”), being 30,000,000 ordinary shares of a nominal value of €1.00 per share (the “Trident Shares”), to SFC’s shareholders pro rata to the number of shares held by them in SFC as at close of business on 21 December 2017 (the “Distribution Record Date”), which includes trades in SFC shares up to 19 December 2017.
The declaration of the interim dividend follows the approval by SFC shareholders, during the Annual General Meeting held on 27 June 2017, for the spin-off of SFC’s shareholding in Trident. The dividend shall be due to all shareholders registered on SFC’s share register at the Central Securities Depository of the Malta Stock Exchange as at the Distribution Record Date. SFC’s shareholders will receive one share in Trident for every share which they hold in SFC. To complete this process, SFC will be mailing out a share transfer agreement to each of its shareholders, which document needs to be signed and returned to SFC by no later than 19 January 2018. Through the execution of this share transfer agreement, the respective SFC shareholder will become a shareholder of Trident.
Pursuant to the Listing Rules, on 18 December 2017, the Listing Authority authorised the admissibility to listing of the Trident Shares. The Trident Shares are expected to be admitted to the Official List of the Malta Stock Exchange on 30 January 2018, and trading is expected to commence thereafter. In relation therewith, the Listing Authority has approved a Prospectus dated 18 December 2017. This Prospectus may be downloaded from Trident’s website (www.tridentestatesplc.com) as from 21 December 2017. Copies of the Prospectus will be mailed to each SFC shareholder. Additional copies can be obtained during office hours from SFC’s registered office.
